TERMS & CONDITIONS

These Terms & Conditions govern the use of services provided by DTC Agency (“Company”, “we”, “us”, or “our”). By booking or purchasing any session or advisory service, you agree to the terms outlined below.

1. Nature of Services

DTC Agency provides strategic advisory and consulting services.

All sessions are professional working discussions designed to support strategic thinking, decision-making, positioning, and business clarity.

Services provided are:

  • Advisory in nature

  • Non-operational

  • Non-executive

  • Based on information provided by the client

No implementation, execution, or ongoing operational services are included unless explicitly agreed in writing.

2. No Guarantees or Outcomes

Strategic advisory does not guarantee specific business results.

Clients acknowledge that:

  • Business outcomes depend on multiple external factors

  • Decisions and implementation remain the sole responsibility of the client

  • Advice provided represents professional opinion, not guaranteed performance

DTC Agency makes no warranties regarding financial, commercial, or operational outcomes.

3. Booking & Payment Terms

All sessions must be paid in full at the time of booking.

A booking confirms reservation of dedicated preparation time and session availability.

Sessions are scheduled at least 7 days in advance to allow preparation and review of submitted information.

Failure to complete required preparation materials may impact session effectiveness and does not qualify for refund.

4. Preparation Requirement

Clients agree to complete intake and screening questions accurately and thoughtfully.

These materials are reviewed in advance and form part of the advisory preparation process.

Incomplete or misleading information may limit the relevance of advice provided.

5. Cancellation & Rescheduling Policy

Strategic sessions require preparation and dedicated time allocation.

  • Cancellations made 48 hours or more before the scheduled session receive a full refund.

  • Cancellations made between 24 and 48 hours before the session receive a 40% refund.

  • Cancellations made less than 24 hours before the session, or missed appointments, are non-refundable.

Rescheduling is permitted subject to availability.

If unforeseen circumstances arise, clients are encouraged to contact us promptly. Adjustments may be considered at our discretion.

6. Follow-Up Sessions & Ongoing Advisory

Follow-up or ongoing advisory sessions are offered selectively.

DTC Agency reserves the right to determine whether continued advisory engagement is appropriate.

The objective of advisory services is to support client autonomy, not dependency.

7. Client Responsibility

Clients remain fully responsible for:

  • Business decisions

  • Implementation of strategies

  • Legal, financial, or operational outcomes

Advisory services do not replace legal, financial, accounting, or regulatory professional advice.

8. Intellectual Property

All frameworks, methodologies, documents, and materials shared during sessions remain the intellectual property of DTC Agency.

Materials may not be reproduced, distributed, or resold without written permission.

Session recaps are provided for personal business use only.

9. Confidentiality

All information shared during advisory sessions is treated as confidential and used solely for the purpose of delivering advisory services.

Clients agree not to record sessions without prior consent.

10. Limitation of Liability

To the maximum extent permitted by law:

DTC Agency shall not be liable for any indirect, incidental, or consequential damages arising from the use of advisory services.

Total liability shall not exceed the amount paid for the specific session giving rise to the claim.

11. Right to Refuse Service

DTC Agency reserves the right to refuse or terminate services if:

  • Engagement is not aligned with expertise

  • Communication becomes inappropriate or abusive

  • Client expectations exceed advisory scope

Refunds in such cases remain at company discretion.

12. Governing Law

These Terms are governed by applicable international commercial standards.

Unless otherwise required by law, disputes shall be resolved under the jurisdiction of the Company’s registered operating location in Paris, France.
